Services Agreement

1Preamble

This Services Agreement ("Agreement") is made and entered into by and between Shiv Tech Solutions, having its registered office at Indore, MP 452011, and the Client. The Client represents that they are an active investor or trader in the share market with a functioning Demat account, and wishes to obtain access to the Algo Platform. In consideration of this, Shiv Tech Solutions agrees to make its platform services available to the Client on the following terms and conditions. This document is verified via Email/Mobile OTP.

Please refer to the attached Disclaimer and Terms & Conditions of the company and read them carefully before proceeding.

2Disclaimer

Please read each point carefully before subscribing to any Shiv Tech Solutions service.

  All subscription fees paid to Shiv Tech Solutions are non-refundable. We do not provide trading tips and are not an investment adviser — no advice, guidance, or recommendations are given on stock market decisions.

  Shiv Tech Solutions, its trades, or associates are not liable for any loss or shortfall arising from operations affected by market conditions.

  Investors must consider all risk factors, including their financial condition and risk-return suitability, and should seek professional advice before investing. Past representations do not indicate future results.

  Shiv Tech Solutions or its executives will never ask for a client's Demat credentials, and we do not offer Demat account handling services.

  Shiv Tech Solutions provides a one-time software login credential to the client's registered email; the client must change these credentials after first use.

  Do not share your email credentials with any executive or third party. Shiv Tech Solutions is not responsible for any financial loss resulting from shared credentials.

  Past performance of any signal, strategy, or model does not indicate future performance. Actual returns may differ significantly due to costs, expenses, timing of entry/exit, flows/redemptions, and individual portfolio characteristics.

  Subscription charges are for use of the automated trading platform — not for the strategies themselves, which are provided free of cost.

  Charges apply for modifying an existing strategy or developing a new custom strategy.

  Under no circumstances is the Company liable for any costs, expenses, or damages — direct, consequential, special, or indirect — including loss of profits or missed market opportunities.

  Subscription amounts paid to Shiv Tech Solutions are non-refundable under any circumstances.

  Shiv Tech Solutions does not commit or guarantee the safety of a client's investment, as outcomes depend entirely on unavoidable market factors.

3Terms & Conditions

Use of this website and its content ("Content") is subject to compliance with these Terms of Service. By using Shiv Tech Solutions' sites and services, you confirm acceptance of these Terms, along with any separately signed content licence agreements you may hold with Shiv Tech Solutions.

Shiv Tech Solutions does not provide investment advice. Only the technology needs of the client are considered when designing the platform, and we are unrelated to any stock advisory or financial-advisor service. Shiv Tech Solutions and its employees do not advise you to purchase, sell, or hold any particular security, and provide no personalised or general investment advice. Clients are advised to conduct their own research and seek advice from a licensed financial professional.

The username and password issued to you are for use by one person only. Shiv Tech Solutions reserves the right to terminate any ID at any time in the event of a breach of these Terms. Automated programs may not be used to access or retrieve Content from this website, and neither Content nor login credentials may be copied, redistributed, disclosed, forwarded, or sold to any third party. All rights not expressly granted herein are reserved by Shiv Tech Solutions.

Limitations of Responsibility & Warranties Disclaimed

Website content is provided solely for personal, non-commercial informational purposes and does not constitute a recommendation to buy, sell, or hold any security, nor to pursue any particular transaction, investment strategy, or portfolio. Shiv Tech Solutions does not provide personal advice on the characteristics, worth, suitability, or transactional implications of any security or financial decision. You acknowledge that you alone are responsible for your financial decisions.

4Liability & Data Security

  Shiv Tech Solutions provides the User/Client with the software on a one-time basis. As the User/Client is fully informed, any resulting profit or loss remains solely their liability.

  The person to whom the ID is issued, and all resulting incidents, profit, and loss from use of the software, are the responsibility of the User/Client — Shiv Tech Solutions holds no liability in this regard.

  Anything the User/Client asks Shiv Tech Solutions to build will not be shared with any third party, and the User/Client's requested privacy will not be breached.

  While Shiv Tech Solutions is obligated to provide the necessary technical resources for the platform, the User/Client remains liable for any financial loss if the software must be shut down for technical reasons.

  The User/Client acknowledges that Shiv Tech Solutions will not be liable for any harm or trouble caused by a data security breach if the software is hacked by a third party.

5Regulatory Undertaking

I/we undertake to abide by all Exchange rules, byelaws, regulations, and circulars, as well as SEBI rules, byelaws, and any other applicable government notifications in effect at any given time. I/we authorise Shiv Tech Solutions to take any necessary action against me/us should I/we carry out a strategy that deceives any investor or contravenes current or future Exchange and SEBI rules, regulations, or government notifications.

6Client Agreement Declaration

Client Consent — this is our standard client agreement; for your own benefit and protection, please read the Agreement, Disclosures, Disclaimer, Terms & Conditions, and Refund Policy carefully before signing.

• By signing, I/we consent to the terms contained herein and authorise Shiv Tech Solutions to provide me/us the Algo Platform. The liabilities and responsibilities of Shiv Tech Solutions are limited to the Algo Platform provided.
• I/we have read and understood all of the above documents, and agree that this Client Agreement takes effect from the date of issue.
• I/we understand and accept the risks involved in the market, and the risk nature of the services offered.
• I/we have visited the Shiv Tech Solutions website (shivtechsolution.in) and reviewed and understood the Disclosures, Disclaimer, Terms & Conditions, and Refund Policy, and hereby agree to the same.
• I/we confirm a good understanding of English, and that any transaction explained in English has also been communicated in my/our vernacular/mother tongue by the firm's executive, where required.
